Working with us
Terms & Conditions
How we quote, what a deposit covers, when payment is due, and what happens if something is not right.
The short version
- You get a written quote before anything starts. It says what is included and whether VAT applies, and the price does not move unless the work does.
- If you are a homeowner and you signed up in your home or online, you have 14 days to change your mind. That is the law, and it is set out in full below.
- Deposits only cover what we have to buy for your job. On larger jobs we ask for the cost of the equipment and materials we order for you, not an arbitrary percentage.
- The balance is due when the job is finished — and “finished” means commissioned, measured and handed over with the paperwork, not just switched on.
- Our workmanship is guaranteed for 12 months, on top of the manufacturer’s warranty on the equipment — which we put in your name and hand over with the paperwork.
- If something is not right, we come back and put it right. That is what the law requires and it is what we would do anyway.

Which part of this page applies to you
These terms are in two parts, because the law treats the two situations differently and it would be misleading to write one set covering both.
- Part 1 applies if you are a consumer — you are having work done at your own home, or at a property you own as an individual rather than through a business. You have rights under Part 1 that a business customer does not have, and nothing in these terms takes them away.
- Part 2 applies if you are a business — a main contractor, developer, letting or managing agent, landlord operating as a company, housing provider or any other organisation.
Where a clause appears in both parts, the wording in your part is the one that applies.
Part 1 — if you are a consumer
1. Quotes and prices
We quote in writing after a survey or after enough information to price the job properly. The quote sets out the work, the equipment we intend to use and whether VAT applies, and it is open for 30 days unless it says otherwise.
The price does not change unless the work changes. If we find something that was not visible when we quoted — a duct route that turns out to be blocked, a ceiling that has to come down, asbestos, or anything else that alters the job — we stop and tell you what it means before we carry on, and you decide whether to proceed. We do not carry out extra chargeable work and present it on the invoice.
2. Surveys
A damp and mould survey is a written report on what we found, what is causing it and what we recommend. It is based on what can be seen and measured on the day, without opening up the building. A survey does not commit you to having the work done and we do not price the work into it.
3. Your right to change your mind
This is the part most people do not know about, so it is set out in full. Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, if you agreed to the work away from our business premises — which for us means in your home, at the property, or online, by email, by WhatsApp or over the phone — then:
- You have 14 days from the day the contract was made to cancel, for any reason or none. You do not have to justify it and there is no charge for cancelling.
- To cancel, tell us in writing — an email to mail@cavalliventilation.co.uk or a WhatsApp message is enough. A clear statement that you are cancelling is all that is needed.
- If you have asked us to start inside those 14 days, you can still cancel, but you pay for what we have already done and for materials and equipment ordered specifically for your job. We will tell you what that comes to before we start, and we will not start early unless you have asked us to in writing.
- If you have not asked us to start early, we will not start until the 14 days are up.
Because this is a service rather than goods, the right to cancel ends once the work is complete if you asked us to start inside the 14 days and we finished within them. Everything up to that point is refundable, less the work actually carried out.
Model cancellation form
You do not have to use this form — any clear statement that you are cancelling will do — but if it is easier, copy it into an email and send it to us.
To Cavalli Ventilation Ltd, mail@cavalliventilation.co.uk, WhatsApp 07863 215773:
I/We [*] hereby give notice that I/We [*] cancel my/our [*] contract for the supply of the following service:
Ordered on [*] / received on [*],
Name of consumer(s),
Address of consumer(s),
Signature of consumer(s) (only if this form is notified on paper),
Date[*] Delete as appropriate.
4. Deposits, stage payments and when the balance is due
- Small jobs — a service visit, a single extract fan — are paid on completion, with nothing up front.
- Jobs involving significant equipment, such as a heat recovery unit or a full first fix, need a deposit. The deposit is the cost of the equipment and materials we order for your job, and the quote states the figure. It is not a percentage picked out of the air, and it never exceeds what we actually have to lay out.
- Jobs running longer than about two weeks are paid in stages tied to points in the work — typically first fix complete, second fix complete, then commissioning and handover. The quote sets out the stages and the amount at each one. Stages are tied to work being done, not to dates passing.
- The balance is due on completion.
“Completion” means the system has been commissioned, the airflow rates measured and recorded, and the handover paperwork issued to you — not simply that the fan turns. We define it because it is the commonest thing for a customer and a contractor to disagree about, and it is fairer to both of us to have it written down.
Invoices are due within 7 days. If an invoice is not paid on time we may charge interest at 4% a year above the Bank of England base rate on the overdue amount, running from the day it fell due. We will always ask before we do.
If your deposit is refunded because the job does not go ahead, we return it in full less anything already spent on equipment or materials ordered for you that we cannot return, and we show you the evidence of that cost.
5. What we need from you
So the job runs to the price quoted, we need reasonable access to the property on the agreed days, somewhere to park within reach of it, a working power supply, and the areas we are working in cleared of belongings. If we cannot work because access was not available and we were not told in advance, we may charge for the time lost. We will always try to rearrange first.
6. If something is not right
Under the Consumer Rights Act 2015 we must carry out the work with reasonable care and skill, within a reasonable time, and any equipment we supply must be of satisfactory quality, fit for purpose and as described. If we fall short of that:
- Tell us, and we come back and put it right at our cost. That is the first remedy the Act gives you and it is the one we would offer anyway — you wanted a working system, not your money back.
- If putting it right is impossible, or we do not do it within a reasonable time or without significant inconvenience to you, you are entitled to a reduction in the price, which depending on the circumstances can be up to the whole of it.
- Manufacturers’ warranties on the equipment we install are passed to you, in your name, with the handover paperwork. Where a fault is the manufacturer’s we will deal with them on your behalf.
Nothing in these terms limits or removes your rights under the Consumer Rights Act 2015 or any other legislation that cannot be excluded. If any clause here conflicts with those rights, your rights win.
Our own workmanship guarantee is at clause 14, and it applies on top of everything in this section rather than in place of any of it.
7. Things outside our control
If we are delayed by something genuinely beyond our control — severe weather, a supply failure at a manufacturer, illness, or being unable to get to the property — we will tell you as soon as we know and agree new dates with you. We are not liable for delay caused that way, but you can cancel and have any deposit back, less work already done, if the delay makes the job pointless to you.
8. Complaints
Email mail@cavalliventilation.co.uk and we will acknowledge it within 3 working days and give you a written response within 14 days. If we cannot resolve it between us, you keep every right you have to take it further, including through the courts.
Part 2 — if you are a business
This part applies where you are contracting as a business. The consumer protections in Part 1, including the 14-day cancellation right, do not apply.
9. Orders, quotes and variations
Our quotation is an offer, and a contract is formed when you accept it in writing or instruct us to start. Quotes are open for 30 days. Variations are only chargeable and only binding if confirmed in writing by both of us before the work is done — email is fine. We will not act on a verbal instruction that changes the price.
Where we are working to a programme set by you or your main contractor, our prices assume the areas we need are ready and available on the agreed dates. Standing time caused by others is chargeable at our day rate.
10. Payment
- Invoices are due 30 days from the date of invoice unless we have agreed different terms in writing.
- Deposits and stage payments are as set out in the quotation, on the same basis as Part 1 — equipment and materials ordered for the job, then stages tied to work completed.
- Payment is not conditional on you being paid by anyone else. Under section 113 of the Housing Grants, Construction and Regeneration Act 1996 a pay-when-paid provision is ineffective, except where the third party is insolvent as defined in that section. We do not accept pay-when-paid terms.
- Retention of title: equipment and materials we supply remain our property until they are paid for in full, so far as they remain identifiable and can be removed without damage to the building. Risk passes to you on delivery to site. Where equipment has become part of the building this reservation may no longer be capable of being enforced against it, and our claim is then for the price rather than for the goods.
Late payment carries interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998 — currently 8% a year above the Bank of England base rate, plus a fixed sum per invoice of £40, £70 or £100 depending on the size of the debt, plus our reasonable costs of recovering it. That entitlement applies by statute whether or not a contract mentions it; it is stated here so there is no surprise.
11. If this is a construction contract
Installing ventilation in a building is a construction operation, so where you are a business our contract is a construction contract under Part II of the Housing Grants, Construction and Regeneration Act 1996. Where it is, this clause applies and takes precedence over clause 10 to the extent of any conflict.
- Due date: the date of our invoice or application for payment.
- Final date for payment: 30 days after the due date.
- Payment notice: you must give notice under section 110A within 5 days of the due date, stating the sum you consider due and the basis on which it is calculated. If you do not, the sum in our application is the notified sum.
- Pay less notice: to pay less than the notified sum you must give notice under section 111 no later than 5 days before the final date for payment, stating the sum you consider due and the basis for it. Without that notice the notified sum is payable in full.
- Suspension: if the notified sum is not paid in full by the final date, we may suspend some or all of our performance under section 112 on 7 days’ written notice, and recover our reasonable costs and the time lost.
- Adjudication: either of us may refer a dispute to adjudication at any time. The Scheme for Construction Contracts applies to any adjudication.
If anything in these terms falls short of what the Act requires, the Act applies and the Scheme for Construction Contracts is implied to the extent needed.
12. Our liability to you
We do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that:
- Our total liability arising out of a contract is limited to the price of that contract.
- We are not liable for loss of profit, loss of contract, loss of production or any indirect or consequential loss.
- We are not liable for defects in design, equipment or building fabric that we did not supply or specify, or for the consequences of instructions given to us by you or by others on your behalf.
Evidence of our current insurance is available on request. Please ask before you place an order if it is a condition of your own contract.
13. Regulatory work and certification
Where we install ventilation that has to meet Approved Document F, we commission it, measure the airflow rates and issue the figures for your building control pack. Those figures are what we measured on the day of commissioning at the settings recorded. If the system is subsequently altered, obstructed, or left unserviced, the recorded figures no longer describe it.
Refrigerant work is carried out by our F-Gas registered partner under their own certification, not by us.
Both parts
14. Our workmanship guarantee
We guarantee our workmanship for 12 months from the date the job is completed. If something we installed fails in that time because of the way we installed it, we come back and put it right at our own cost. This applies whether you are a consumer or a business.
It covers the installation itself: our fixings, duct runs, joints and terminations, the electrical connections we made, and the commissioning.
It does not cover:
- The equipment itself, which carries the manufacturer’s own warranty — usually longer than ours. We register it in your name and hand it over with the paperwork, and where a fault is the manufacturer’s we deal with them for you.
- Damage caused by someone else’s work, by alteration of the system after we left it, or by misuse.
- A system that has not been serviced to the manufacturer’s schedule. Filters left to load up are the commonest reason a system appears to have stopped working, and it is not an installation fault — see clause 15.
- Consumables such as filters, and fair wear and tear.
This guarantee is in addition to your legal rights, not instead of them. Nothing in it limits or replaces what you are entitled to under the Consumer Rights Act 2015 or any other legislation that cannot be excluded.
15. Servicing keeps it working
Every system we install is a machine with a filter in it. Filters load up gradually, airflow falls with them, and a system can drift well below the rate it was commissioned at with no warning light and no change in the sound of it. Where equipment is supplied with a manufacturer’s servicing schedule, keeping to it is a condition of the manufacturer’s warranty. We will tell you what yours needs at handover.
16. General
- If any part of these terms turns out to be unenforceable, the rest of them still apply.
- We may subcontract parts of the work, and remain responsible to you for it.
- These terms and any contract under them are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
- We may update these terms. The version that applies to your job is the one published on the date your quotation was issued.
